Full terms

By accepting and signing in, you confirm that you are an authorised party and agree to keep all non-public information made available through this simulation confidential. Confidential information includes the simulation representation, workflows, proprietary process, designs, specifications, operational data, supplier information, and procurement lists, whether displayed, discussed, exported, or otherwise made available.

The parties' intended allocation is that project-specific intellectual property and associated data, including the Simulation Representation and proprietary process, are owned by Kunal Bafna's company, the Client and project owner, as set out in the governing MOU/SOW. Studio97 acts as the solution provider supporting the automation solution through hardware and software implementation. Studio97 retains its pre-existing tools, frameworks, and intellectual property unless the MOU/SOW expressly says otherwise. Nothing in this access grant transfers ownership or grants any licence except the limited, revocable right to view and use the material for authorised project purposes.

You must not share credentials or confidential information, reproduce or distribute material, use it for any competing or unrelated purpose, or attempt to decompile, reverse engineer, or circumvent safeguards. You will promptly notify the Client or Studio97 of any suspected unauthorised access, disclosure, or loss.

Your acceptance is intended to be an electronic record of this confidentiality and IP undertaking. The service records the account, acceptance time, agreement version, IP address, and device/browser details at sign-in for access-security, investigation, and audit purposes. Access to these records is restricted to authorised project administrators and retained only as long as needed for those purposes or legal obligations. Access may be withdrawn at any time.

These terms are governed by applicable Indian law. The parties intend disputes to be subject to the courts having jurisdiction in Mumbai, Maharashtra, subject to any mandatory law. This access notice supports, and does not replace, any separately executed MOU, NDA, IP assignment, or contract.
